If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Nexis IPTV provides access to internet protocol television (“IPTV”) content, which includes live television channels, video-on-demand (VOD), and other digital media (“Content”). Channels availability is subject to change based on licensing agreements and technical requirements. We grant you a non-exclusive, non-transferable, limited right to access and use the Services for personal, non-commercial entertainment purposes only. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.

4. Subscriptions, Billing, and Cancellations

Our Services are provided on a subscription basis. By selecting a subscription plan, you agree to pay all applicable fees as set forth on our Site. We use third-party payment processors to handle all payments. Your financial information is not stored on our servers. By providing payment information, you represent that you are authorized to use the designated payment method and authorize us (or our processor) to charge your payment method for the total amount of your subscription, including any applicable taxes. We offer a 24-hour free trial (“Trial”) to allow you to test our Services. **NO PAYMENT INFORMATION IS REQUIRED** to activate the Trial. After the 24-hour Trial period ends, your access will simply expire. You will not be charged automatically. To continue using our Services, you must actively select and purchase a subscription plan. When you choose a subscription plan, you agree to pay the specified amount for that plan. Payment is processed at the time of purchase. Your subscription will remain active for the duration of the plan you selected (e.g., 1 month, 3 months, 12 months). We do not offer auto-renewal unless explicitly stated and agreed upon at checkout. You may cancel your subscription at any time by contacting us via WhatsApp or email. Since we do not offer auto-renewal, your service will simply expire at the end of your paid term. We do not offer refunds or credits for any partial subscription periods once access has been granted.

All content available through the Services, including but not limited to video programming, channel lineups, graphics, logos, and software, is the property of Nexis IPTV LLC or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You agree not to use the Services to violate any applicable law or regulation; infringe upon the rights of others; upload or transmit viruses, malware, or other harmful code; attempt to gain unauthorized access to our systems or other users’ accounts; or use the Services in a way that could damage, disable, or impair our servers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIS IPTV LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We also reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by posting the revised Terms on our Site and updating the “Last Updated” date at the top. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law provisions. Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at legal@nexisiptv.com. We will attempt to resolve the dispute internally. If we cannot resolve the dispute informally, you agree that any dispute shall be resolved by binding individual arbitration, rather than in court, by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, you and we can still sue in court for issues related to intellectual property infringement. YOU AND WE AGREE THAT ANY PROCEEDINGS TO RESOLVE ANY DISPUTE, CLAIM, OR CONTROVERSY WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.
